Director of Compliance, Governance and Company Secretary (FTC)

£110000 - £130000 per annum



Director of Governance and Compliance and Company Secretary, 12 months Fixed term Contract moving to Permanant. To support the organisation to deliver its core business activites in a way that is compliant with legislation and regulation. To act as Company Secretary for the Group and its subsidiaries.

  • Qualified solicitor.
  • Chartered company secretary (ICSA) associate or fellow.
  • Experience of mergers and acquisitions.
  • Data Protection Officer.
  • Managment of large team.
  • Not for Profit or Regulated Firm expereince


  • Leading a multi-disciplinary team, developing talent, engaging colleagues, setting objectives, providing support and monitoring performance. (Senior reports: Head of Risk and Assurance, Head of Legal Services, Head of Governance and Company Secretarial, Head of Health and Safety, Head of Sustainability, Head of Data Strategy).
  • Setting and managing budgets to ensure that expenditure is forecasted, processed and recorded in accordance with organisational financial procedures.
  • Delivery of relevant targets, as set out in the Performance Scorecard
  • Acting as a subject matter expert, supporting departments in relevant activities, providing guidance, support and training.
  • Monitoring the external environment and providing regular updates on relevant topics and best practice to stakeholders across the business, including the Board.
  • Writing reports for the Board and its committees.
  • Creating guidance, training and communications for colleagues in required subject areas.
  • Supporting the Group in the delivery of its growth agenda, through merger and acquisition.
  • Leading investigations into serious incidents, including accidents, whistleblowing, fraud and related concerns.
  • Contributing to the successful running of the organisation as part of the Leadership Team.

Governance and Company Secretarial:

  • Ensuring the effective management and operation of the organisation nd all of its subsidiary companies, boards and committees.
  • Organising, preparing and delivering the overall governance cycle for all legal entities.
  • Managing Financial Conduct Authority and Companies House, as well as other relevant statutory registrations.
  • Arranging and delivering board and committee member training, carrying out the annual skills review and appraisal process, and maintaining board member training records.
  • Supporting and promoting excellent governance throughout the business.
  • Drafting and advising on the Governance Framework, including the Standing Orders, Financial Regulations, Terms of Reference and delegated authorities.
  • Providing advice, guidance and training to board members and senior stakeholders to ensure compliance with all relevant regulatory and legislative requirements.
  • Monitoring changes in the regulatory environment and taking appropriate action.
  • Overseeing compliance arrangements in line with regulatory standards.

Legal Services

  • Leading the legal services function to ensure that operational teams receive high-quality, cost-effective and commercial legal advice, which manages risk to the business.
  • Providing strategic leadership, direction and coordination for the legal services team.
  • Ensuring that appropriate resourcing is in place for the delivery of legal advice, using a blended approach of internal colleagues and panel lawyers.
  • Ensuring that legal work is resourced appropriately and properly supervised.
  • Managing legal spend across the Group, and driving value for money and efficiency improvements.
  • Maintaining the Group’s legislation register and providing assurance to the Board on compliance with all relevant law.

Risk, Assurance and Internal Audit

  • Developing and driving risk management strategy to provide assurance that the organisation undertakes adequate risk management activities to identify, report on and manage business risks across all functions.
  • Developing and embedding an appropriate and proportionate risk management culture.
  • Ensuring appropriate levels of assurance are adopted across the business which challenge and support the risk framework.
  • Leading and overseeing a risk-based annual programme of internal audit in continuously evaluating and improving its operations in order to meet its strategic objectives.


  • Developing and driving the insurance strategy to ensure ssets are protected and legal obligations met in the most efficient and cost-effective way.

Business Continuity

  • Developing and driving the delivery of business resilience strategy to ensure the organisation is able to respond to, manage and recover from disruptive incidents effectively and efficiently.

Health and Safety

  • Leading the development and oversight of health and safety to help to promote a safety culture and ensure compliance with legal obligations.


  • Leading the development and oversight of sustainability initiatives and activity to help to deliver Environmental Social Governance (ESG) objectives.

Data Strategy

  • Defining and delivering Data Strategy which sets out the Group’s approach to the effective use and management of its data.

Data Governance

  • Leading the data governance team, ensuring that roles and responsibilities for data governance are defined across the organisation and data quality standards are defined and implemented.

Data Protection

  • Acting as the Group’s designated Data Protection Officer.

About you:

  • Qualified solicitor.
  • Chartered company secretary (ICSA) associate or fellow.
  • Demonstrable leadership experience at a similar level in the Not for Profit Sector or other regulated environment.
  • Experience of mergers and acquisitions.
  • Experience of acting as a Data Protection Officer.

    Global Consulting Firm (Google Cloud Partner) seek a Apigee API Architect to fill a key role in the firms strategic GCP offering. You will combine software development, networking, and system administration expertise with an aptitude for technical consulting, troubleshooting and analysis to define and lead the firms Apigee offering.

    Key Deliverables:

    • Develop a working relationship with the customer’s technical staff and be able to gain their trust and credibility through deep technical knowledge and subject matter expertise.
    • Develop Proofs of Concept, presentations and demos
    • Manage and lead the customer throughout the evaluation process through to closure.
    • Coordinate and deliver RFP/I/Q responses and technical architecture solutions.
    • Ability to identify and manage complex technical deliverables to meet program requirements
    • Stakeholder engagement and influencing

    My leading consulting client are looking to bring on multiple IT Business Analysts with strong captial markets experience.

    Candidates should have:

    • Experience working in the financial services industry as Business Analyst
