Global Custody Product Management – Legal Remediation Programme Manager


Position Summary

We are seeking a detail-oriented and execution focused professional with strong project management, communication and influencing skills, experience with data analysis, with a background in the financial services industry, and preferably, knowledge of Securities Services.

The successful candidate will work with the Global Custody Product Management Team within Securities Services on strategic initiatives including Credit Remediation Programmes focussing on legal review of Securities Services’ Contracts. As project manager, the candidate will be responsible for establishing a robust operating model and governance process for the review of these contracts and the subsequent transfer of contractual clauses into the firmwide legal repository. In addition, the successful candidate will also aid relevant product managers and legal stakeholders in defining operating models for future adoption of firmwide legal workflow tools.

In the role, the candidate will work closely with functional teams across Legal, Document Management Operations, Product development, Legal Technology, and wider Product Management to support the delivery of the review of critical legal clauses in Securities Services’ agreements.

Specific Responsibilities / Deliverables will include:

  • Establish operating model and governance process for accurately capturing contractual clause related data from ongoing review of legal agreements for c2000+ Securities Services clients
  • Facilitate data flow/information upload from current spreadsheet based review of contractual clauses/client information into the firmwide repository for legal contracts
  • Critically evaluate existing manual processes and define alternative automated processes for the ‘capture’ and ‘transfer’ of contractual data in the firmwide repository
  • Partner closely with functional teams to establish and execute operating model for capturing legal clause related information for newly onboarded agreements
  • Lead work stream governance for the legal review remediation programme; organise internal governance calls (including maintaining detailed minutes and action logs), maintain the project plan, and produce management updates including quantitative reporting on leal review completion of contracts in scope (requiring data analysis).
  • Partner closely with functional teams to establish and execute outreach workflow using applicable tools to achieve maximum automation
  • Assist relevant product manager and legal stakeholders in defining requirements/automated solutions for future adoption of firmwide legal workflow tools for capturing contractual metadata
  • Support product, legal and Document Management Operations queries relating to the legal remediation programme, ensuring these are addressed by the appropriate Product or Legal partner.



Requirements

  • 3+ years project management/ product management/ product development experience, including working across multiple business areas and/or functions to deliver change initiatives
  • Strong PMO skills including: stakeholder management; identifying and escalating risks, issues and potential impacts to the critical path; project artefact creation and maintenance
  • Excellent interpersonal, communication, influencing and negotiation skills with the ability to develop and maintain collaborative senior relationships with legal stakeholders internally
  • Expert analytical, problem solving, critical thinking and decision-making skills based upon fact, with ability to analyse large datasets (advanced excel skills preferred)
  • Ability to work independently and multitask in a fast-paced environment
  • Desire to assume responsibility for strategic deliverables and identification of automated alternative solutions to current manual processes
  • Prior experience in legal contracts, and data related initiatives for contractual clauses in preferred

    Key Responsibilities:

    In this role, the successful candidate will be responsible for Legal input into the EMEA IBOR Programme across the business under a dual-hat arrangement. The role will include the following key areas of responsibility:
    • Advise on the review and remediation of contracts referencing LIBOR.
    • Advise on new RFRs and transactions adopting these rates
    • Advise on legal and regulatory issues arising as a result of LIBOR transition.
    • Supporting and advising on internal and external communications
    • Identify and advise on legal and regulatory and market developments arising under IBOR transition and the impact on the Firm and international business.
    • Liaising with the EMEA IBOR Programme and other stakeholders and ensuring completion of Legal deliverables to the IBOR Programme.
    • Coordinating with coverage lawyers in EMEA Legal team and international Legal team.
    • Providing updates and briefings for stakeholders including management.

    Skills and Experience:
    • University degree or equivalent.
    • Qualified as a solicitor with 5+ years PQE with demonstrable experience in regulation, regulatory change.
    • Excellent communication skills (both written and oral).
    • Experience in reviewing and negotiating OTC, exchange traded and/or structured derivative transactions. Reviewing and negotiating LIBOR amendments to existing derivative agreements is beneficial.
    • Good understanding of standard industry master agreements such as ISDAs, GMRAs and GMSLAs (including ISDA definitional booklets and the ISDA IBOR Protocol).
    • Experience in reviewing and negotiating bilateral, syndicated loans, structured loans and linked loans. Reviewing and negotiating LIBOR amendments to existing loan agreements is beneficial.
    • Good understanding of standard industry agreements such as LMA (requirement) and LSTA (helpful).
    • Good understanding of regulatory framework, primarily EMIR.
    • Stakeholder management.
