Corporate and Investment Bank – Legal – Retail Structured Products Contractor

The Team

We are a team of nine lawyers providing legal coverage to the securitised derivatives and structured products businesses within the Markets division of the Corporate Investment Bank (CIB) in EMEA.

We work closely with the Structured Investments Distributor Marketing (SIDM) and Equity Derivatives lines of businesses. The SIDM business covers the sale of structured products through distribution channels to retail and high-net worth investors. The products are sold through a number of legal wrappers, most commonly in securitised format. The securities are issued via subsidiaries, special purpose vehicles and third party MTN issuers. The products span across a full spectrum of asset classes including equity, credit, FX, commodity, rates, inflation, exotics & hybrids and funds. The business also has a Shariah-compliant structured products programme. The Equity Derivatives business, among other things, runs a successful German exchange traded warrants (ETP) platform.

The Role

The candidate will be involved in a mix of transactions ranging from private placements of flow products, public offers involving one or multiple European jurisdictions to highly customised products that are tailored to the investor’s investment criteria. The candidate will also be identifying and advising the business on regulatory and cross-border issues in delivering products to the end market or when the business wishes to employ a new distribution model or enter new markets.

The team is responsible for the CIB’s Reg S issuance programmes which are utilised globally. The candidate will be working with other team members in maintaining the programmes, adding functionality to existing programmes and establishing new issuance platforms. In addition the team manages any regulatory implementation for the securitised issuance business as required.

The candidate will also be involved in automation and templating initiatives collaborating with internal and external technology service providers to deliver automated solutions for legal documents. This is a high profile area which the business and legal department have identified as a strategic growth area within the CIB.

The role will be based in London and subject to the working arrangements as prescribed by company policies. The candidate’s working hours will be based on London time zone and follow the UK calendar for public holidays.

Essential skills, qualifications and experience

We are looking for someone who is:

  • licensed to practice law and a member of good standing or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction or has para-legal experience from a law firm or in-house role
  • a team player, confident and proactive, enjoys regular interaction with Sales & Trading, legal colleagues and other corporate functions
  • exceptionally organised and has great communication skills
  • fluent in drafting, including the ability to draft "plain language" disclosure documents
  • experienced with structured products and derivatives documentation
  • familiar with negotiating distribution agreements and licence agreements

    Legal Consultant - Derivatives & Loans


    Key Responsibilities:

    In this role, the successful candidate will be responsible for Legal input into the EMEA IBOR Programme across the business under a dual-hat arrangement. The role will include the following key areas of responsibility:
    • Advise on the review and remediation of contracts referencing LIBOR.
    • Advise on new RFRs and transactions adopting these rates
    • Advise on legal and regulatory issues arising as a result of LIBOR transition.
    • Supporting and advising on internal and external communications
    • Identify and advise on legal and regulatory and market developments arising under IBOR transition and the impact on the Firm and international business.
    • Liaising with the EMEA IBOR Programme and other stakeholders and ensuring completion of Legal deliverables to the IBOR Programme.
    • Coordinating with coverage lawyers in EMEA Legal team and international Legal team.
    • Providing updates and briefings for stakeholders including management.

    Skills and Experience:
    • University degree or equivalent.
    • Qualified as a solicitor with 5+ years PQE with demonstrable experience in regulation, regulatory change.
    • Excellent communication skills (both written and oral).
    • Experience in reviewing and negotiating OTC, exchange traded and/or structured derivative transactions. Reviewing and negotiating LIBOR amendments to existing derivative agreements is beneficial.
    • Good understanding of standard industry master agreements such as ISDAs, GMRAs and GMSLAs (including ISDA definitional booklets and the ISDA IBOR Protocol).
    • Experience in reviewing and negotiating bilateral, syndicated loans, structured loans and linked loans. Reviewing and negotiating LIBOR amendments to existing loan agreements is beneficial.
    • Good understanding of standard industry agreements such as LMA (requirement) and LSTA (helpful).
    • Good understanding of regulatory framework, primarily EMIR.
    • Stakeholder management.
